Monthly and Annual Premium Website Hosting

OBJECTIVE

Both parties wish to enter into an agreement where Concept Designs&Marketing Pty Ltd will supply the client with a premium website hosting suitable for the client’s business at the agreed pricing as outlined in Schedule 1. The premium website hosting will also include monthly maintenance and updating of plugins.

Concept Designs&Marketing Pty Ltd agrees to provide premium website hosting for either a monthly or a yearly package.

TERMS

1. In consideration for the payment of the fees outlined in Schedule 1 and as changed from time to time Concept Designs&Marketing Pty Ltd will provide the following:

Website Hosting when website goes live: As soon as website is approved and goes live, Concept Designs&Marketing Pty Ltd will set up website hosting and this will be renewed on either a monthly or annual basis. This will be determined by conversation with the client.

2. In return for the above-described premium website hosting, the client agrees to pay the fees outlined in Schedule 1, and understands the following:

Ownership: Concept Designs&Marketing Pty Ltd will provide the client with premium website hosting, as long as Concept Designs & Marketing Pty Ltd has been paid in full for the annual cost, or monthly cost if they have agreed to the monthly package.

Once full payment has been received, whether annually or monthly, Concept Designs & Marketing will be responsible for updating and maintaining the website. In the event of termination of this agreement or due to failure of payment, Concept Designs&Marketing Pty Ltd has the right to immediately remove the website from Concept Designs & Marketing Pty Ltd Server. Website Loading Speed: The client understands, on a 6‑monthly basis, it is recommended and necessary to undertake website loading speed optimisation to ensure optimal website loading speed. NOTE: website loading speed can begin to slowdown due to the necessary ongoing website plugin updates. The client understands this will incur an additional fee, on top of the monthly or annual website hosting fee.

Right to Modify:The client has no right to alter the website logins in any way. Concept Designs & Marketing Pty Ltd will be responsible for updating and maintaining the website as long as website logins are not adjusted. If the client makes any alterations to the website logins, or removes Concept Designs & Marketing Pty Ltd as a user on the clients website, this will result in the website being removed from the server, for security reasons, due to outdated plugins and software. The client understands that there will be an additional fee to reinstate their website to the server, once their payments are made in full.

3. Payment terms:The client must pay Concept Designs&Marketing Pty Ltd in either monthly or annual payments. Payment must be made by client by Ezypay payment or direct deposit into Concept Designs&Marketing Pty Ltd account as payment of invoice. Failure to pay: Concept Designs & Marketing Pty Ltd provides a premium paid website hosting service where websites are maintained monthly. Failure to pay from 30 days outstanding will result in website being removed from the server. As a courtesy, Concept Designs & Marketing Pty Ltd will display a splash screen with the clients contact details.

4. Confidentiality: Throughout the term of this agreement (and for a period of two years after the termination of this agreement) both parties shall keep absolutely confidential all matter relating to the business of each other and the affairs of each other and shall not disclose (so far as is it within either parties control or power to do so) any information of either party except only as may be required by law or to the extent only that such matter is already in the public domain.

5. Termination:Concept Designs&Marketing Pty Ltd has the right to terminate this agreement if the client breaches any of its obligations under this agreement and fails to rectify the breach within 5 working days; any representation made by the client in this agreement which is not true when made or deemed to be made; an insolvency event occurs in relation to the client; or the client ceases to function as a going concern.

The client has the right to terminate this agreement if Concept Designs&Marketing Pty Ltd fails to provide premium website hosting. Within 60 days of the first payment of website hosting or if, illness or injury, or events beyond Concept Designs&Marketing Pty Ltd’s control causes a delay of more than 60 days from the agreed website hosting service.

If terminated, 1, the client has the right to move their website files to another website hosting provider. The client understands there will be a charge involved if the client asks Concept Designs & Marketing to perform this transfer. 2, Concept Designs&Marketing Pty Ltd shall forward Domain Authorisation Keys, where domains have been registered with Concept Designs & Marketing so that the client can transfer their domain away from Concept Designs & Marketing, to another provider. 3, The client understands that the client cannot claim any additional expenses, damages or claims based on the failure of Concept Designs&Marketing Pty Ltd to provide premium website hosting, and that this agreement is automatically terminated on the death of Concept Designs&Marketing Pty Ltd.

NOTE:Before you sign below or before payment of your first invoice, please make sure you understand all of the above agreement. Payment of your first invoice indicates this contract is acceptable by you and will be considered signed with your invoice payments into the Concept Designs&Marketing Pty Ltd account by Ezypay or Direct Deposit. And will be deemed ongoing until otherwise notified in writing.
